General Terms and Conditions

  1. By signing this document, Customer authorizes CTS to complete the transaction and obligates Customer to all charges detailed in the quotation above.
  2. Taxes and Other Related Charges: If any federal, state, local, or foreign tax, fee, assessment, or other charge, including the federal Universal Service Fund (“USF”) charge, is required by law to be collected (each, a “Tax”), including but not limited to any applicable to Customer products and services, CTS shall bill such Tax to Customer. CTS shall remit the Taxes that are received as required by law and shall administer any Customer Tax exemptions. Any third-party billing arrangement shall be subject to prevailing terms for tax purposes and in compliance with governing law for Federal, State, and Local jurisdictions.
  3. No Returns on Special Orders: No returns are accepted for the following: Special Orders, Software, Freight Charges, and all types of Cradlepoint, Apple,Cisco/Meraki, Ericcson, or CTO (Configure to Order) Products and Services.
  4. Return Merchandise Authorization: Regardless of the product or product type, no return will be accepted unless the buyer has previously obtained a Return Merchandise Authorization (RMA) number. RMAs are provided through the CTS Mobility RMA Department. Upon receiving an RMA, the customer has seven (7) days from issuance to return the product(s). Returns made after the seven (7) day period or those received without a valid RMA number will be considered “UNAUTHORIZED.” All returns or exchanges must be complete, including the original box, manuals, and accessories. CTS Mobility reserves the right to refuse any returns deemed “unauthorized.” An RMA number can be obtained by emailing help@ctsmobility.com.
  5. Lost or Missing Items: Any lost or missing items or packages must be reported within five (5) calendar days, or the delivery will be considered as arrived and accepted. If the Customer has opted out of procuring insurance for the delivery, CTS Mobility, Ltd. is not responsible for the value or replacement of goods or property. This policy does not cover shipments delayed due to force majeure events (e.g., acts of God, strikes, pandemics, or other covered force majeure events unless specified in the Customer Agreement)
  6. Abandoned Property: Any abandoned property will become the property of CTS Mobility, Ltd. in accordance with the laws of the State of Texas. Such property will be considered rendered and surrendered without fault to CTS, and CTS will be held harmless from any litigation or additional penalty. Customer-owned assets, whether physical or digital (i.e., software, licenses), will be considered abandoned if:
    1. a) The asset remains at CTS for greater than 45 days without an agreement in place for storage and/or maintenance, or
    2. b) An agreement expires and assets are not transferred to the Customer within the 45 day window and/or subject to collections and additional storage fees and any other interest that may apply.

    Parties shall use all reasonable efforts to arrange for the transfer of such assets in compliance with this abandonment clause. All fees for transporting such assets, if applicable, shall be the responsibility of the Customer.

  1. Support Contracts with Re-occurring Billing: Failure to meet contract terms (i.e., 12 months, 24 months) will be subject to a termination fee of up to the full value of the service contract and subject to damages and/or losses. A valid statement of work or service contract will take precedence over this term.
  2. Network Issues: CTS is not responsible for network issues arising due to network outages or other factors outside of CTS’s control.
  3. Liability Disclaimer: IN NO EVENT WILL SELLER BE LIABLE FOR CONSEQUENTIAL DAMAGES EVEN IF CUSTOMER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SELLER GRANTS NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. THIS EXPRESS WARRANTY IS IN LIEU OF ALL LIABILITIES OR OBLIGATIONS OF SELLER FOR DAMAGES, INCLUDING BUT NOT LIMITED TO CONSEQUENTIAL DAMAGES OCCURRING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF ANY GOODS SOLD HEREUNDER. SELLER DOES NOT WARRANT THE ACCURACY OR SUFFICIENCY OF ANY ADVICE OR RECOMMENDATIONS GIVEN TO BUYER IN CONNECTION WITH THE SALE OF GOODS.
  4. Standard Terms and Conditions: The Standard Terms and Conditions attached hereto are incorporated herein by reference and deemed a part of this Agreement. References to “this Agreement” or “hereof” shall refer to this Agreement and the Standard Terms and Conditions as a whole.
  5. Order of Precedence: Upon signing this quote, the order of precedence is as follows: CTS SOW, CTS Terms & Conditions (including MSA), Amendment to CTS Scope of Work, CTS Quote.
  6. Acceptance of Contract/Terms and Conditions: This Contract integrates, merges, and supersedes any prior offers, negotiations, and agreements concerning the subject matter hereof and constitutes the entire agreement between the parties.
  7. This quote is not able to be cancelled after 3 days once signed. If cancellation is requested within this window, there may be fees associated with restocking and cancellation. Cancellation may also result in a credit versus refund for the purchase.
  8. CTS reserves the right to substitute or upgrade your order/product at the discretion of CTS should your product become discontinued. CTS will inform you in the event this occurs.

Field Service Specific Terms and Conditions

  1. The Terms and Conditions above apply to these Terms and Conditions below.
  2. CTS Field Services may include additional rates for items such as mileage, overtime, and materials. Additionally, the use of light/heavy equipment and associated costs may also be incurred. These fees will be billed in addition to the agreed upon quoted rate to complete the installation as needed. CTS will make its best efforts to communicate these needs and additional charges as they arise or prior to their use. A valid statement of work or service contract will take precedence over this term.
  3. Through the process of discovery it may become evident that additional technicians, labor hours, travel, equipment and other unforeseen cost items may become apparent. These types of charges, when identified, will be presented to the Customer and parties shall negotiate in good faith to address and incorporate unforeseen charges into the quote and/or Statement of Work.
  1. Field Service Warranty is guaranteed for 30 days for workmanship after the service is complete. CTS is not responsible for system or network issues related to defective hardware or other installed hardware or software whether previous or subsequent to CTS installation.
    1. This warranty is voided by misuse, accident, modification, and unsuitable physical or operating environment, improper maintenance by Customer, or Customer’s other service organizations, removal or alteration of part identification, or failure caused by a product or component not supplied by Invoice.
    2. CTS Field Service standard charge of $150.00 / hour, or as agreed by the parties in writing. Sites serviced after hours are subject to higher rates as agreed by the parties in writing.
    3. Customer will provide onsite contacts for each location (prior to CTS technician arriving on site) unless otherwise agreed by the parties in writing.
    4. Exceptions to fulfillment of onsite service may be affected by holidays or other events that prohibit access to the location. Keys/Access must be on-site and available prior to the dispatch of a Field Technician if required.

All Smartphone/Tablet sales are final and non-returnable, except in cases of Dead-on Arrival (DOA), warranty claims, or verified product defects. Returns due to buyer’s remorse or non-fault reasons will not be accepted.

CTS Return Policy

  1. A returned merchandise authorization (RMA) number must be issued for all returns. An RMA can be obtained by sending an email to help@ctsmobility.com.
  2. The product must arrive at CTS Mobility within 14 calendar days of the RMA being issued.
  3. Product may be returned within 20 days of sale with a valid RMA number.
    1. Products returned post 20 Days will be charged 20% Restock of Sell Cost (See General Terms and Conditions, point 3 on No Returns and Special Orders.).
  4. The product must be returned in the condition authorized (sealed, opened, damaged, etc.). Any deviation from the specified and agreed conditions will require pre-approval from CTS Mobility.
  5. Defective items must be in their original condition, complete with all packaging, accessories, bags, CDs, and manuals to obtain an RMA.
  6. Customer accounts will be credited based on the current cost at the time of receipt for Defective, DOA, and/or Customer Error returns.
  7. Credit will be issued only for returned items that reference an RMA number. If there is a problem or delay issuing credit, the tracking number must be provided to CTS Mobility.
  1. Items received outside the stated timeframe or in unacceptable condition will not be credited and will be returned to the sender at the customer’s expense via ground shipping.
  2. Refused shipments must be reported to CTS Mobility within two (2) days of refusal.
  3. A restocking fee will be charged on all incomplete product returns that CTS Mobility can make factory complete.
  4. Open box returns will be subject to a restocking fee as noted above.
  5. CTS Mobility reserves the right to return any product shipment that does not match the information given on the original RMA request.
  6. Manufacturers and Products that are Non-Returnable
    1. Ericcson/Cradlepoint, Apple, Cisco/Meraki, Semtech, Configured to Order Products, Custom Accessories, CTS Mobility Services are Non-Returnable/Refundable, Certified Pre-Owned Products are Non-Returnable/Refundable Unless DOA or Defect within 30 Days of Receiving
